DeeZen End User Licence Agreement ("Agreement")
This Agreement is between you and ZenCognitics Pty Ltd, an Australian company ("ZenCognitics", "we", "us"). It governs your use of the DeeZen desktop software and related services ("DeeZen" or the "Software").
By clicking "I Agree", installing, or using DeeZen, you accept this Agreement. If you do not agree, do not install or use DeeZen, and uninstall it.
We wrote this in plain English because we think you should be able to read the terms you accept. Where the law gives you rights that cannot be taken away (section 14), this Agreement does not take them away, and nothing below should be read as trying to.
DeeZen is an AI assistant that runs on your own computer:
DeeZen is software, not a human adviser. It is a tool you control.
We give you a personal, non-exclusive, non-transferable, revocable licence to install and use DeeZen:
You may not copy, sell, rent, sublicense, or redistribute the Software; reverse-engineer it except where the law allows it regardless; remove notices; or use it to build a competing hosted service. The licence covers our code. Third-party models and engines inside DeeZen are licensed by their own owners under their own terms (section 12), and open-source components under their own licences (section 12.3).
DeeZen is built local-first. Your conversations, memories, files, scheduled tasks, and API keys are stored on your device, not on our servers. We do not run an account system for the core product and we do not receive your content. The personal information we handle is limited to: what Paddle collects to process your purchase (Paddle is the controller of that), and anything you choose to send us directly (for example a support email). Our full privacy notice is at deezen.ai/privacy.
Our privacy promise, stated exactly: whatever DeeZen processes on your device is private. Nothing more is promised. When a task needs more than your device can do, DeeZen uses an off-device route that is described honestly in the product — your own provider account on your key (their terms apply to that traffic), or a Dee server we run (translation, the native-language shared brain, and any future shared services). Those off-device hops are described as such in the product, are opt-in or clearly labelled where they occur, and are never claimed to be private. Local means private; anything else means the terms of the server it reaches.
Media features (image, video, audio) may use third-party generation services chosen in the product, or a local draft lane on your own hardware. Metered media consumes credits or uses your BYOK key as shown in the product before you generate. Generated media must comply with section 11. You are responsible for having the rights to any image, audio, or likeness you supply as input.
Credits are a prepaid balance, not a subscription. They never expire. A credit is a US$0.05 unit (100 credits = the US$5 pack); the number of credits a render costs is shown before you generate and may change as third-party provider costs change. A price change does not reduce your balance or make it expire. Credits are not redeemable for cash except where required by law; refunds are handled under the Australian Consumer Law and the purchase terms shown at checkout.
Voice features process speech on your device by default. If you use DeeZen to record or transcribe any conversation, call, or meeting, you are responsible for complying with the recording-consent laws that apply (some places require everyone on the call to agree).
You must be at least 16 to use DeeZen. If you are under 18, you may use it only with a parent or guardian's agreement and supervision.
You must not use DeeZen to:
We may suspend or terminate access for breach of this section, and where the law requires we will report unlawful material to the proper authorities.
We warrant that: we have the right to license the Software to you; paid features will materially do what we describe at deezen.ai and in the product; and we will provide the Software with reasonable care and skill. If a paid feature materially fails this and you tell us, we will fix it, re-supply it, or refund the affected fees — without limiting anything in section 14.
Australia. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failure with a service, you are entitled to cancel your service contract with us and get a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failure with goods. If a failure with goods or a service is not major, you are entitled to have the failure corrected in a reasonable time; if we do not, you can get a refund. The benefits of this Agreement are in addition to your rights under the Australian Consumer Law.
New Zealand. Nothing in this Agreement limits rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot lawfully be limited.
United Kingdom. Digital content must be as described, fit for purpose, and of satisfactory quality under the Consumer Rights Act 2015. Nothing in this Agreement affects your statutory rights, including repair, replacement, price reduction, or refund rights for non-conforming digital content, or your 14-day cancellation right for distance contracts, subject to the rule that for digital content supplied immediately with your express consent and acknowledgement, the cancellation right is lost once supply begins.
European Union / EEA. You benefit from mandatory consumer protections of your country of residence, including the legal guarantee of conformity for digital content (Directive (EU) 2019/770) and — unless you consented to immediate supply and acknowledged losing it — the 14-day withdrawal right (Directive 2011/83/EU). Nothing in this Agreement limits those rights.
Everywhere else. You keep every right you have that cannot lawfully be excluded, restricted, or modified. To the extent a right can be limited, we limit our liability to re-supplying the services or paying the cost of re-supply, as the law permits.
Except for section 13 and the non-excludable rights in section 14, the Software is provided "as is" and "as available". To the maximum extent the law allows, we disclaim all other warranties, express or implied — including merchantability, fitness for a particular purpose, and non-infringement — and we do not warrant that the Software will be uninterrupted, error-free, or that AI output will be accurate (section 6).
We may update the Software (it is designed to be honest about what changes). We may change this Agreement by posting the new version at deezen.ai/terms and, for material changes, giving at least 30 days' notice in the product or by email. If a change materially disadvantages you as a paying user, you may cancel before it takes effect and get a pro-rata refund of prepaid subscription fees. Continuing to use DeeZen after a change takes effect means you accept it.
This Agreement lasts until terminated. You may terminate it at any time by uninstalling DeeZen and cancelling any subscription. We may terminate or suspend your licence if you materially breach this Agreement and do not fix it within 14 days of notice, or immediately for breaches of section 11. On termination: your licence ends; sections 6, 11, 14–16, 20 and 21 survive; and your local data stays on your device — deleting it is up to you.
You must comply with export-control and sanctions laws. You confirm you are not located in, ordinarily resident in, or a person listed under, an embargoed country or restricted-party list (including those of Australia, the US, the EU, and the UN), and you will not allow DeeZen to be used in violation of those laws.
This Agreement is governed by the laws of Western Australia, excluding conflict-of-laws rules. The courts of Western Australia have non-exclusive jurisdiction. However, if you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may bring claims in the courts of your own country where the law gives you that right. The UN Convention on Contracts for the International Sale of Goods does not apply.
If any part of this Agreement is held invalid or unenforceable, the rest continues. Our failure to enforce a provision is not a waiver. This Agreement, the documents it references (including the privacy notice and the third-party notices), and your Paddle purchase terms are the entire agreement between us about DeeZen. You may not assign this Agreement without our consent; we may assign it to an affiliate or in connection with a sale of the business, with notice where the law requires.
